1. Introduction
These Seller Terms & Conditions (“Seller Terms”) govern the registration and use of the ShopSpace marketplace by sellers, vendors, merchants and business partners (“Seller”, “you”, “your”).
By registering as a Seller on ShopSpace, creating a Seller Account, listing products or accepting orders through the Platform, you acknowledge that you have read, understood and agreed to these Seller Terms.
ShopSpace reserves the right to update, modify or amend these Seller Terms from time to time. Continued use of the Platform after such changes shall constitute acceptance of the revised Terms.
2. Seller Eligibility
To register as a Seller on ShopSpace, the Seller must:
- Provide accurate and complete registration information.
- Be legally eligible to conduct business in India.
- Provide valid identity, business and bank account details as requested.
- Provide GST details wherever applicable under applicable law.
- Provide valid PAN and other required tax information.
- Provide correct business and pickup/return address.
- Have the legal right to sell the products listed on the Platform.
- Comply with all applicable Indian laws, rules and regulations.
ShopSpace may verify the information submitted by a Seller before or after activation of the Seller Account.
3. Seller Account
The Seller is responsible for maintaining the confidentiality of their login credentials.
Any activity performed through the Seller Account may be treated as activity authorised by the Seller unless the Seller promptly informs ShopSpace of unauthorised access.
The Seller must immediately notify ShopSpace if:
- Login credentials are compromised.
- Bank account information changes.
- GST or PAN information changes.
- Business ownership or legal status changes.
- Pickup or return address changes.
The Seller must not create multiple accounts for fraudulent, deceptive or unauthorised purposes.
4. Product Listing
The Seller shall provide complete and accurate product information, including where applicable:
- Product name
- Brand name
- Product description
- Product images
- Size and colour
- Material/specifications
- MRP
- Selling price
- Applicable taxes
- Stock quantity
- Weight and dimensions
- Warranty information
- Expiry date, where applicable
- Other information required by ShopSpace or applicable law
Product images and descriptions must accurately represent the actual product supplied to customers.
The Seller shall not upload misleading, false, copied or deceptive product information.
5. Prohibited Products
The Seller shall not list, sell or distribute products that are:
- Illegal or prohibited under Indian law.
- Counterfeit, fake or unauthorised products.
- Stolen or unlawfully obtained goods.
- Dangerous or hazardous products without required permissions.
- Products infringing another person's intellectual property rights.
- Products requiring licences or approvals that the Seller does not possess.
- Restricted medicines or controlled substances where prohibited.
- Weapons, explosives or other prohibited items.
- Adult or otherwise restricted products where prohibited by ShopSpace or applicable law.
- Any product specifically prohibited by ShopSpace.
ShopSpace may remove any product listing that it reasonably believes violates these Terms, applicable law or Platform policies.
6. Product Quality and Authenticity
The Seller is solely responsible for ensuring that products sold through ShopSpace are:
- Genuine and authentic.
- New or accurately described as used/refurbished where permitted.
- Safe and fit for the purpose represented.
- Properly packed.
- Free from manufacturing or other defects to the extent required by applicable law.
- Consistent with the description, images and specifications shown on the Platform.
The Seller shall not substitute a different product, colour, size, model or brand without the customer's consent where such consent is required.
7. Pricing and MRP
The Seller is responsible for setting accurate product prices and MRP information.
The Seller must not provide false or misleading MRP information for the purpose of showing an artificial discount.
ShopSpace may display the Seller's product price, discounts, offers and other information on the Platform.
ShopSpace may run promotional campaigns or offers subject to applicable commercial arrangements with the Seller.
8. Orders
Once an order is accepted by the Seller, the Seller must process and dispatch the order within the applicable processing time communicated by ShopSpace.
The Seller must:
- Keep sufficient stock information updated.
- Accept genuine orders promptly.
- Pack the correct product.
- Ensure correct quantity, size, colour and variant.
- Dispatch within the prescribed time.
- Provide accurate shipment information.
- Avoid unnecessary order cancellations.
Repeated order cancellations, stock-outs or delayed dispatches may result in penalties, suspension or other action as permitted under the Seller Agreement or applicable policy.
9. Packaging and Shipping
The Seller is responsible for safely packing products before handing them over for delivery.
The Seller must use packaging appropriate for the nature of the product.
Products must be packed in a manner that helps prevent:
- Damage
- Leakage
- Breakage
- Tampering
- Contamination
- Missing items
Where ShopSpace or its logistics partner provides specific packaging instructions, the Seller must follow them.
Shipping charges, logistics charges and other applicable fees shall be handled according to the commercial terms applicable to the Seller.
10. Returns and Refunds
The Seller agrees to comply with ShopSpace's applicable return, replacement and refund policy.
Returns may be accepted in cases including, where applicable:
- Wrong product delivered.
- Damaged product received.
- Missing product or quantity.
- Product materially different from the listing.
- Defective product.
- Other eligible reasons specified in ShopSpace's customer return policy.
The Seller may be required to provide evidence such as product photographs, packaging photographs, shipping records or other information during a return/dispute investigation.
Where the Seller is responsible for the issue, the applicable return, refund, replacement or related cost may be adjusted against the Seller's payable amount, subject to applicable law and ShopSpace's policies.
11. Seller Cancellation
A Seller should not cancel an order after acceptance except for a genuine and unavoidable reason.
Repeated cancellations may affect:
- Seller performance rating.
- Search visibility.
- Seller eligibility.
- Promotional eligibility.
- Settlement amounts.
- Account status.
ShopSpace may take appropriate action against sellers showing consistently poor fulfilment performance.
12. Payment and Settlement
ShopSpace shall settle eligible Seller amounts according to the applicable settlement schedule and commercial agreement.
The amount payable to the Seller may be adjusted for applicable:
- Marketplace/platform fees.
- Commission.
- Shipping/logistics charges.
- Payment processing charges.
- Taxes and statutory deductions.
- Customer refunds.
- Returns.
- Chargebacks.
- Penalties, where legally permissible and applicable.
- Other agreed charges.
The Seller must provide accurate bank account details.
ShopSpace shall not be responsible for delays caused by incorrect or incomplete bank information supplied by the Seller.
13. GST, Taxes and Invoices
The Seller is responsible for complying with all applicable tax laws relating to its business and products.
Where applicable, the Seller must:
- Maintain a valid GST registration.
- Provide correct GSTIN information.
- Charge applicable GST correctly.
- Issue legally compliant tax invoices.
- Maintain appropriate tax and accounting records.
- File applicable GST returns.
- Pay applicable taxes and statutory dues.
The Seller shall be responsible for any tax liability arising from inaccurate or fraudulent tax information submitted by the Seller.
14. Invoicing
The Seller shall provide appropriate invoice information as required by applicable law and ShopSpace's marketplace process.
The Seller must ensure that invoice information is accurate and corresponds with the actual product sold.
Any tax invoice, credit note, debit note or other commercial document must comply with applicable laws.
15. Seller Commission and Platform Fees
ShopSpace may charge sellers applicable commission, subscription fees, payment processing charges, shipping charges, promotional charges or other agreed marketplace fees.
The applicable rates may vary depending upon:
- Product category.
- Seller plan.
- Promotional campaign.
- Logistics arrangement.
- Payment method.
- Other commercial terms agreed between ShopSpace and the Seller.
ShopSpace may communicate applicable fees through the Seller Panel or other official communication channels.
16. Seller Performance
ShopSpace may monitor Seller performance using factors such as:
- Order fulfilment rate.
- Cancellation rate.
- Dispatch time.
- Return rate.
- Product quality.
- Customer complaints.
- Ratings and reviews.
- Refund/dispute rate.
- Policy violations.
Poor performance may result in warnings, restrictions, reduced visibility, suspension or termination of the Seller Account.
17. Customer Communication
Sellers must communicate with customers professionally and respectfully.
The Seller must not:
- Harass or threaten customers.
- Request customers to cancel orders for the Seller's convenience.
- Manipulate reviews or ratings.
- Misrepresent product information.
- Direct customers away from ShopSpace for the purpose of bypassing Platform transactions.
- Request unnecessary personal information.
18. Customer Data and Privacy
Seller may receive limited customer information necessary for fulfilment of an order.
Such information must be used only for legitimate purposes related to the ShopSpace transaction.
The Seller must not:
- Sell customer information.
- Share customer information with unauthorised persons.
- Use customer information for unrelated marketing without appropriate legal basis/consent.
- Store customer information longer than necessary or permitted.
- Contact customers for unrelated commercial purposes.
The Seller must comply with applicable privacy and data protection laws.
19. Intellectual Property
The Seller represents that it has the necessary rights to use:
- Product images.
- Brand names.
- Logos.
- Product descriptions.
- Videos.
- Other content uploaded by the Seller.
The Seller must not upload content that infringes another person's copyright, trademark, design rights or other intellectual property rights.
If a legitimate intellectual-property complaint is received, ShopSpace may remove or restrict the relevant listing while the matter is investigated.
20. Seller Content Licence
By uploading product images, descriptions and other content to ShopSpace, the Seller grants ShopSpace a non-exclusive right to use such content for operating, marketing and promoting the Seller's products on the Platform and ShopSpace's authorised marketing channels, subject to applicable law and the Seller's rights.
21. Fraud and Misuse
The following activities are prohibited:
- Fake orders.
- Self-ordering for manipulation of sales.
- Fake reviews or ratings.
- Coupon/offer abuse.
- Payment fraud.
- False product information.
- Manipulation of product prices.
- Counterfeit products.
- Multiple accounts created for abuse.
- Any attempt to manipulate ShopSpace's systems or marketplace rankings.
ShopSpace may suspend or terminate accounts involved in suspected fraudulent activity and may take further action where appropriate.
22. Disputes and Investigations
ShopSpace may investigate customer complaints, returns, refunds, payment disputes and Seller policy violations.
The Seller agrees to provide reasonable information and supporting documents requested during an investigation.
ShopSpace may temporarily hold or adjust an amount where reasonably necessary to process a dispute, refund, return or other legitimate transaction-related issue, subject to applicable law and the Seller's contractual rights.
23. Account Suspension or Termination
ShopSpace may suspend, restrict or terminate a Seller Account in cases including:
- Violation of these Seller Terms.
- Fraudulent activity.
- Sale of prohibited products.
- Repeated customer complaints.
- Repeated order cancellations.
- Poor fulfilment performance.
- Counterfeit or unauthorised products.
- False business/GST information.
- Intellectual-property violations.
- Unauthorised use of customer data.
- Any activity that may harm customers, sellers or the ShopSpace marketplace.
Where appropriate, ShopSpace may provide notice and an opportunity to resolve the issue.
Termination shall not automatically cancel legitimate financial obligations already accrued between the parties.
24. Seller Responsibility and Indemnification
The Seller shall be responsible for losses, claims, liabilities, penalties, damages or expenses arising from the Seller's:
- Violation of applicable law.
- Sale of illegal or counterfeit products.
- Product-related claims caused by the Seller.
- Incorrect tax information.
- Intellectual-property infringement.
- Misleading product information.
- Breach of these Seller Terms.
- Misuse of customer information.
- Fraudulent or negligent conduct.
To the extent permitted by law, the Seller agrees to indemnify and hold ShopSpace harmless against such claims arising from the Seller's acts or omissions.
25. Limitation of ShopSpace's Role
ShopSpace operates as a marketplace/platform connecting Sellers and customers.
Unless specifically stated otherwise, ShopSpace does not manufacture the products sold by independent Sellers.
The Seller remains responsible for the legality, authenticity, quality, description, pricing, packaging and fulfilment of its products.
Nothing in these Terms shall be interpreted as excluding any legal rights or obligations that cannot lawfully be excluded.
26. Changes to Seller Terms
ShopSpace may modify these Seller Terms from time to time to reflect changes in:
- Business operations.
- Platform features.
- Applicable laws.
- Commercial arrangements.
- Security requirements.
- Marketplace policies.
Updated Terms may be published on the Platform or communicated through the Seller Panel.
27. Governing Law and Jurisdiction
These Seller Terms shall be governed by the laws applicable in India.
Any dispute shall be subject to the jurisdiction of the competent courts having jurisdiction over the applicable ShopSpace business location, subject to applicable law.
28. Acceptance
By registering as a Seller or continuing to use the ShopSpace Seller Platform, the Seller confirms that:
- The information provided by the Seller is accurate.
- The Seller has read and understood these Terms.
- The Seller agrees to comply with these Terms.
- The Seller agrees to comply with applicable laws and ShopSpace policies.
